Terms of Service

By accessing or using AdMark Studio (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

AdMark Studio is an AI-powered banner creation platform that provides:

• AI-powered banner and advertisement generation
• Brand analysis and color extraction from websites
• Animation and motion graphics creation
• Face-swap personalization technology
• Manual design editing tools
• Designer Marketplace connecting users with professional designers
• Campaign management and asset organization

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

Available Plans:

• Free Trial: 30 days, limited features
• Standard Plan: $19.99/month
• Pro Plan: $49.99/month
• Enterprise: Custom pricing, contact sales

Billing Terms:

• Subscriptions are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• Subscriptions automatically renew unless cancelled before the renewal date
• You can cancel your subscription at any time through your account settings
• Upon cancellation, you retain access until the end of your current billing period

Price Changes:

We may change our prices at any time. Price changes will be communicated in advance and will apply to billing periods starting after the notice. Continued use of the Service after a price change constitutes acceptance of the new price.

AdMark Studio uses a token-based credit system for AI features:

• Credits are included with subscription plans and can be purchased separately
• Different features consume different amounts of credits (banner generation, animation, face-swap, etc.)
• Credits are non-refundable and non-transferable
• Unused credits from monthly allocations expire at the end of each billing cycle
• Purchased credit packs do not expire while your account is active
• Credit usage is displayed in your dashboard

You agree NOT to use the Service to:

• Create content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Generate hate speech, discriminatory content, or content promoting violence
• Create deceptive or misleading advertisements
• Impersonate any person or entity without authorization
• Generate content that infringes on intellectual property rights
• Create adult, sexually explicit, or pornographic content
• Generate content depicting minors in any inappropriate context
• Circumvent any security features or access restrictions
• Use automated systems to access the Service without permission
• Attempt to reverse-engineer or extract our AI models or algorithms
• Share your account credentials with others

Violation of this policy may result in immediate termination of your account and potential legal action.

Your Content:

You retain all rights to the content you upload to AdMark Studio (images, logos, text, etc.). By uploading content, you grant us a limited license to use, process, and store that content solely for the purpose of providing the Service to you.

AI-Generated Outputs:

You own the banners, animations, and other content generated by our AI based on your inputs and settings. You may use this content for commercial purposes, subject to these Terms.

Our Intellectual Property:

The Service, including its design, features, AI technology, and underlying code, is owned by AdMark Studio and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

Portfolio Rights:

With your permission (which you may grant or revoke in your account settings), we may display your designs in our portfolio, marketing materials, or case studies. We will not use your content for these purposes without your consent.

The Designer Marketplace connects users with professional designers for custom work:

For Users:

• Designer services are priced between $5-$10 per design as indicated in the Service
• Payment is processed when you submit a design request
• Typical turnaround time is 24 hours
• You may request revisions as specified in the designer's terms
• AdMark Studio acts as an intermediary and is not directly responsible for designer work quality

Disputes:

If you are dissatisfied with designer work, please contact support within 7 days of delivery. We will work to resolve disputes fairly but reserve final judgment on refunds or credits.

AI-generated content is created based on your inputs and our AI models. You acknowledge that:

• AI outputs may not always meet your expectations and may require editing
• We do not guarantee that AI-generated content is unique or free from similarity to existing works
• You are responsible for reviewing AI-generated content before use
• AI-generated content should be fact-checked if it includes text claims
• We are not liable for any damages arising from the use of AI-generated content

The face-swap feature allows you to place faces into banner designs. By using this feature, you agree:

• You have obtained proper consent from any individuals whose faces you upload
• You will not use face-swap to create deceptive, defamatory, or harmful content
• You will not use face-swap to impersonate public figures without authorization
• You will not create content depicting individuals in illegal, violent, or sexual contexts
• You accept full responsibility for the face-swap content you create and its use

We reserve the right to refuse face-swap requests and remove content that violates these terms.

The Service may integrate with third-party platforms (Facebook Ads, Google Display Network, etc.):

• Use of third-party integrations is subject to their respective terms of service
• We are not responsible for the actions or policies of third-party platforms
• Integration availability may change based on third-party decisions
• You are responsible for compliance with third-party advertising policies

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADMARK STUDIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, or goodwill
• Any damages resulting from unauthorized access to your account
• Any damages resulting from third-party services or integrations
• Any damages exceeding the amount you paid us in the twelve (12) months preceding the claim

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

You agree to indemnify, defend, and hold harmless AdMark Studio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or create using the Service
• Your use of AI-generated content or face-swap features

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will cease immediately
• We may delete your account data within 30 days
• You remain responsible for any outstanding fees
• Provisions that should survive termination will remain in effect

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.
